This website is operated by HotHouse Beauty. Throughout the site, the terms “we”, “us” and “our” refer to HotHouse Beauty. HotHouse Beauty offers this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here. By visiting our site and/ or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content. Please read these Terms of Service carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any services. If these Terms of Service are considered an offer, acceptance is expressly limited to these Terms of Service. Any new features or tools which are added to the current store shall also be subject to the Terms of Service. You can review the most current version of the Terms of Service at any time on this page. We reserve the right to update, change or replace any part of these Terms of Service by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes. Our store is hosted on Shopify Inc. They provide us with the online e-commerce platform that allows us to sell our products and services to you. 

1 Online Store and Marketplace Terms

1.1 By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site. You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws). You must not transmit any worms or viruses or any code of a destructive nature. A breach or violation of any of the Terms will result in an immediate termination of your Services.

1.2 Dealers SHALL NOT promote, market, advertise, offer to sell, or sell any St Moriz products through any Amazon.com marketplace. For Amazon and other third-party marketplace orders, St Moriz is the only official sellers authorized by the manufacturer, St Moriz

 1.3 IMPORTANT NOTE: ST MORIZ authorized sales of its products except on Online Marketplaces and Restricted Websites as noted above. ST MORIZ actively participates in the Amazon.com Brand Registry Program and similar programs to prevent the advertising and sale of unauthorized, unlicensed, infringing, and/or counterfeit merchandise. Any unauthorized sales of ST MORIZ products on Amazon or other sites will be removed as they are discovered. Ads from online sellers offering any auctions or advertising sales will also be regularly removed or taken down.

1.4 Products purchased on Amazon from any other source other than ST MORIZ will not come with the same warranties, money-back guarantees, and customer services as intended by us, ST MORIZ, the manufacturer.

 1.5 Under warranty or return/refund policy (if applicable): “This warranty does not apply to products purchased through unauthorized resellers, including unauthorized sellers on Amazon.com, eBay.com, or other third-party marketplace websites. On Amazon.com, this warranty only applies to the seller ST MORIZ”.

2 General Conditions

We reserve the right to refuse service to anyone for any reason at any time. 
You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us. The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

3 Accuracy, Completeness and Timeliness of Information

We are not responsible if information made available on this site is not accurate, complete or current. The material on this site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Any reliance on the material on this site is at your own risk. This site may contain certain historical information. Historical information, necessarily, is not current and is provided for your reference only. We reserve the right to modify the contents of this site at any time, but we have no obligation to update any information on our site. You agree that it is your responsibility to monitor changes to our site. 

4 Modifications to the Service and Prices

Prices for our products are subject to change without notice. We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time. We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service. 

5 Products or Services (if applicable)

Certain products or services may be available exclusively online through the website and may have limited quantities. We have made every effort to display as accurately as possible the colors and images of our products that appear at the store. We cannot guarantee that your computer monitor's display of any color will be accurate. We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at anytime without notice, at the sole discretion of us. We reserve the right to discontinue any product at any time. Any offer for any product or service made on this site is void where prohibited. We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected. 

6 Accuracy of Billing & Account Information

We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e‑mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors. You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

7 Optional Tools

We may provide you with access to third-party tools over which we neither monitor nor have any control nor input. You acknowledge and agree that we provide access to such tools ”as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools. Any use by you of optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s). We may also, in the future, offer new services and/or features through the website (including, the release of new tools and resources). Such new features and/or services shall also be subject to these Terms of Service.

We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or services of third-parties. We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third-party. 

9 User Comments, Feedback & Other Submissions

If, at our request, you send certain specific submissions (for example contest entries) or without a request from us you send creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, by postal mail, or otherwise (collectively, 'comments'), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any comments that you forward to us. We are and shall be under no obligation (1) to maintain any comments in confidence; (2) to pay compensation for any comments; or (3) to respond to any comments. We may, but have no obligation to, monitor, edit or remove content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service. You agree that your comments will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that your comments will not contain libelous or otherwise unlawful, abusive or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Service or any related website. You may not use a false e‑mail address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any comments. You are solely responsible for any comments you make and their accuracy. We take no responsibility and assume no liability for any comments posted by you or any third-party.

Your submission of personal information through the store is governed by our Privacy Policy.

11 Errors, Inaccuracies and Omissions

Occasionally there may be information on our site or in the Service that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information in the Service or on any related website is inaccurate at any time without prior notice (including after you have submitted your order). We undertake no obligation to update, amend or clarify information in the Service or on any related website, including without limitation, pricing information, except as required by law. No specified update or refresh date applied in the Service or on any related website, should be taken to indicate that all information in the Service or on any related website has been modified or updated. 

12 Prohibited Users

We reserve the right to terminate your use of the Service or any related website for violating any of the prohibited uses. 

13 Disclaimer of Warranties; Limitation of Liability

13.1 We do not guarantee, represent or warrant that your use of our service will be uninterrupted, timely, secure or error-free. We do not warrant that the results that may be obtained from the use of the service will be accurate or reliable. You agree that from time to time we may remove the service for indefinite periods of time or cancel the service at any time, without notice to you. You expressly agree that your use of, or inability to use, the service is at your sole risk. The service and all products and services delivered to you through the service are (except as expressly stated by us) provided 'as is' and 'as available' for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement. In no case shall HotHouse Beauty, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law. 

13.2 Under warranty or return/refund policy (if applicable): “This warranty does not apply to products purchased through unauthorized resellers, including unauthorized sellers on Amazon.com, eBay.com, or other third-party marketplace websites. On Amazon.com, this warranty only applies to the seller ST MORIZ”.



14 Indemnification

You agree to indemnify, defend and hold harmless HotHouse Beauty and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party. 

15 Severavbility

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions. 

16 Termination

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes. These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site. If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof). 

17 Entire Agreement

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. These Terms of Service and any policies or operating rules posted by us on this site or in respect to The Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service). Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party. 

18 Governing Law

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of United Kingdom.

It is your responsibility to check our website periodically for changes. TRADE TERMS

Terms and conditions for the supply of goods

1 Interpretation

1.1 Definitions. In these Conditions, the following definitions apply:
“Business Day” means a day (other than a Saturday, Sunday or public holiday) when banks in London are open for business;
“Conditions” means the terms and conditions set out in this document as amended from time to time in accordance with clause 11.7;
“Contract” means the agreement between the Supplier and the Customer for the sale and purchase of the Goods in accordance with and incorporating these Conditions;
“Customer” means the person who purchases the Goods from the Supplier;
“Force Majeure Event” has the meaning given in clause 10;
“Goods” means the products of the Supplier (or any part of them);
“Order” means the Customer's written order for the purchase of Goods;
“Supplier” means HOTHOUSE BEAUTY LIMITED (registered in England and Wales with company number 06228749).

1.2 Construction. In these Conditions, the following rules apply:
(a) a person includes a natural person, corporate or unincorporated body (whether or not having separate legal personality);
(b) a reference to a party includes its personal representatives, successors or permitted assigns;
(c) a reference to a statute or statutory provision is a reference to such statute or provision as amended or re-enacted. A reference to a statute or statutory provision includes any subordinate legislation made under that statute or statutory provision, as amended or re-enacted;
(d) any phrase introduced by the terms including, include, in particular or any similar expression, shall be construed as illustrative and shall not limit the sense of the words preceding those terms; and
(e) a reference to writing or written includes faxes and e-mails.

2 Basis of Contract

2.1 The Contract (incorporating these Conditions) constitutes the entire agreement between the parties to the exclusion of any other terms that the Customer seeks to impose or incorporate (whether written or oral), or which are implied by trade, custom, practice or course of dealing. The Customer confirms that it has not relied on any statement, promise or representation made or given by or on behalf of the Supplier which is not set out in the Contract. For the avoidance of doubt, any terms or conditions of trade of the Customer are expressly excluded and do not form part of the Contract.

2.2 The Order constitutes an offer by the Customer to purchase the Goods in accordance with these Conditions. The Customer is responsible for ensuring that the quantities and types of Goods specified in the Order are complete and accurate.

2.3 The Order shall only be deemed to be accepted when the Supplier confirms acceptance of the Order, at which point the Contract shall come into existence.

2.4 A quotation for the Goods given by the Supplier shall not constitute an offer.

3 Goods

3.1 The Customer acknowledges and agrees, any samples, descriptive matter, or advertising produced by the Supplier and any descriptions or illustrations contained in the Supplier's catalogues or brochures are produced:
(a) for the sole purpose of giving an approximate idea of the Goods described in them; and
(b) to enable the Customer to judge the quality of the Goods;
they shall not form part of the Contract or have any contractual force. For the avoidance of doubt the parties agree that the Contract is not a “sale by sample” agreement.

3.2 If requested by the Supplier, the Customer shall submit forecasts to the Supplier to confirm estimates of the quantities of Goods required for any future order. The Supplier and Customer
acknowledge that any such forecasts are estimates only and shall not form part of the Contract until an Order is received and accepted by the Supplier.

3.3 The Customer acknowledges and agrees that it will not export the Goods outside the UK without the prior written consent of the Supplier and not make sales via ONLINE market places such as Amazon or Ebay.

4 Delivery

4.1 The Supplier shall ensure that each delivery of the Goods is accompanied by a delivery note which shows the date of the Order, the type and quantity of the Goods, and, if the Order is being delivered by installments, the outstanding balance of Goods remaining to be delivered.

4.2 The Goods shall either be delivered to the Customer’s principal place of business or such other location as the parties may agree in writing or made available for collection from the Supplier’s warehouse or such other location as the Supplier may notify to the Customer (“Delivery Location”).

4.3 Delivery of the Goods shall be completed on the Goods' arrival at the Delivery Location.

4.4 Any dates quoted for delivery are approximate only, and the time of delivery is not of the essence. The Supplier shall not be liable for any delay in delivery of the Goods that is caused by a Force Majeure Event or the Customer's failure to provide the Supplier with adequate instructions that are relevant to the supply of the Goods.

4.5 If the Supplier fails to deliver the Goods, its liability shall be limited to the direct transport costs of delivery of the Goods. The Supplier shall have no liability for any failure to deliver the Goods to the extent that such failure is caused by a Force Majeure Event or the Customer's failure to provide the Supplier with adequate instructions that are relevant to the supply of the Goods.

4.6 Where Goods are made available for collection by the Customer and the Customer fails to arrange collection of the Goods within 3 Business Days of the Supplier notifying the Customer that the Goods are ready, then, except where such failure or delay is caused by a Force Majeure Event:
(a) delivery of the Goods shall be deemed to have been completed at 9.00 am on the third Business Day after the day on which the Supplier notified the Customer that the Goods were ready; and
(b) the Supplier shall store the Goods (subject to clause 4.7) until delivery takes place, and shall charge the Customer for all related costs and expenses (including insurance).

4.7 If 10 Business Days after the day on which the Supplier notified the Customer that the Goods were ready for delivery the Customer has not collected them, the Supplier may resell or otherwise dispose of part or all of the Goods and, after deducting reasonable storage and selling costs, account to the Customer for any excess over the price of the Goods or charge the Customer for any shortfall below the price of the Goods.

4.8 The Customer shall not be entitled to reject the Goods if the Supplier delivers up to and including 5% more or less than the quantity of Goods ordered. Where the wrong quantity of Goods are delivered, the Customer must notify the Supplier within 2 Business Days of receipt of the same, and a pro rata adjustment shall be made to the invoice relating to such Goods to account for the value of Goods actually delivered.

4.9 The Supplier may deliver the Goods by instalments in such quantities as it may decide, which shall be invoiced and paid for separately. Each instalment shall constitute a separate Contract. Any delay in delivery or defect in one or more instalment shall not entitle the Customer to cancel any other instalment or repudiate any Contract as a whole.

5 Quality

5.1 The Customer acknowledges and agrees:
(a) that the Supplier has given the Customer a reasonable opportunity (pursuant to clause 5.2) to inspect the Goods;
(b) that the Customer has inspected the Goods;
(c) that, unless confirmed otherwise in accordance with clause 5.2 below, the Customer has satisfied itself as to the condition of the Goods and all Goods are in good order and condition and of satisfactory quality and fit for purpose;
(d) that all conditions and warranties express or implied (whether by statute of otherwise) are, to the fullest extent permitted by law, excluded.

5.2 The Customer shall notify the Supplier immediately, and in any event within 2 Business Days of receipt of delivery of the Goods pursuant to clause 4, of any defects in the Goods (whether in relation to packaging, contents or otherwise) and (if asked to do so by the Supplier) shall return all such Goods to the Supplier (at the Customer’s cost).

5.3 The Supplier shall, if it agrees the Goods are defective and at its option, either replace the defective Goods or refund the price of the defective Goods. Any Goods not considered defective by the Supplier shall (if sent to the Supplier) be returned to the Customer and be paid for, in full, in accordance with the Contract.

5.4 The Supplier shall not be liable for any Goods' which have become defective due to:
(a) the Customer making any further use of such Goods after giving notice in accordance with clause 5.2;
(b) the Customer failing to follow the Supplier's oral or written instructions as to the storage of the Goods or (if there are none) good trade practice regarding the same;
(c) the Customer altering the Goods;
(d) the defect arising as a result of wilful damage, negligence, or abnormal storage conditions.

5.5 Except as provided in this clause 5, the Supplier shall have no liability to the Customer in respect of any defective Goods.

5.6 These Conditions shall apply to any replacement Goods supplied by the Supplier.

6 Title and Risk

6.1 The risk in the Goods shall pass to the Customer on completion of delivery pursuant to clause 4.

6.2 Title to the Goods shall not pass to the Customer until the Supplier has received payment in full (in cash or cleared funds) for:
(a) the Goods; and
(b) any other goods or services that the Supplier has supplied to the Customer in respect of which payment has become due.

6.3 Until title to the Goods has passed to the Customer, the Customer shall:
(a) hold the Goods on a fiduciary basis as the Supplier's bailee;
(b) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as the Supplier's property;
(c) not remove, deface or obscure any identifying mark or packaging on or relating to the Goods;
(d) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price from the date of delivery;
(e) notify the Supplier immediately if it becomes subject to any of the events listed in clause 8.2; and
(f) give the Supplier such information relating to the Goods as the Supplier may require from time to time,
but the Customer may resell or use the Goods in the ordinary course of its business.

6.4 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 8.2, or the Supplier reasonably believes that any such event is about to happen and notifies the Customer accordingly, then, provided that the Goods have not been resold and without limiting any other right or remedy the Supplier may have, the Supplier may at any time require the Customer to deliver up the Goods and, if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

7 Price and Payment

7.1 The price of the Goods shall be the price set out in the Supplier's price list in force as at the date of delivery.

7.2 The Supplier may, by giving notice to the Customer at any time up to 10 Business Days before delivery, increase the price of the Goods (up to a maximum of 10% of the current pricing) to reflect any increase in the cost of the Goods that is due to:
(a) any factor beyond the Supplier's control (including foreign exchange fluctuations, increases in taxes and duties, and increases in labour, materials and other manufacturing costs);
(b) any request by the Customer to change the delivery date(s), quantities or types of Goods ordered; or
(c) any delay caused by any instructions of the Customer or failure of the Customer to give the Supplier adequate or accurate information or instructions;
in the event of any increase in costs which will exceed 10% of the current price list the Supplier shall contact the Customer to agree revised pricing prior to any further Order for the Goods being accepted.

7.3 The price of the Goods is exclusive of the costs and charges of packaging, insurance and transport of the Goods, which shall be invoiced to the Customer.

7.4 The price of the Goods is exclusive of amounts in respect of value added tax (VAT). The Customer shall, on receipt of a valid VAT invoice from the Supplier, pay to the Supplier such additional amounts in respect of VAT as are chargeable on the supply of the Goods.

7.5 The Supplier may, in its sole discretion, either:
(a) require payment of the Goods to be made prior to delivery; or
(b) invoice the Customer for the Goods on or at any time after the completion of delivery.

7.6 Where an invoice is issued in accordance with clause 7.5(b), the Customer shall (unless the Supplier has notified the Customer of any alternative payment arrangements either in writing, prior to the Order being made, or on the invoice) pay the invoice in full and in cleared funds within 30 days of the date of the invoice. Payment shall be made to the bank account nominated in writing by the Supplier. Time of payment is of the essence.

7.7 If the Customer fails to make any payment due to the Supplier under the Contract by the due date for payment (“due date”), then the Customer shall pay interest on the overdue amount at the rate of 4% per annum above HSBC Bank plc's base rate from time to time. Such interest shall accrue on a daily basis from the due date until the date of actual payment of the overdue amount, whether before or after judgment. The Customer shall pay the interest together with the overdue amount.

7.8 The Customer shall be responsible for and agrees to indemnify the Supplier in respect of all costs, expenses, charges and liabilities (of any kind) incurred by the Supplier in enforcing payment under the Contract.

7.9 All sums due under the Contract shall be paid by the Customer in full without any deduction or withholding except as required by law and the Customer shall not be entitled to assert any credit, set-off or counterclaim against the Supplier in order to justify withholding payment of any such amount in whole or in part. The Supplier may at any time, without limiting any other rights or remedies it may have, set off any amount owing to it by the Customer against any amount payable by the Supplier to the Customer.

8 Termination

8.1 Without prejudice to any other right or remedy it may have, either party may terminate the Contract, by notice in writing to the other:
(a) at any time, by giving [30] days notice;
(b) immediately, if the other party is in breach of the Contract and, where such breach is capable of remedy, the breach is not remedied within 5 Business Days of notice being given requesting such remedy;
(c) immediately where a Force Majeure Event has prevented a party from fulfilling its obligations under the Contract for 30 days or more;
(d) immediately if the other party becomes insolvent or if an order is made or a resolution passed to wind-up the other party or they cease to trade or an administrator or administrative receiver is appointed over the whole or any part of their business or assets or any agreement or composition is entered into with its creditors or any act taken or suffered which is similar or analogous to any of the above.

8.2 Termination of the Contract, however arising, shall not affect any of the parties' rights and remedies that have accrued as at termination. Clauses which expressly or by implication survive termination of the Contract shall continue in full force and effect.

9 Limitation of Liability

9.1 Nothing in these Conditions shall limit or exclude the Supplier's liability for:
(a) death or personal injury caused by its negligence, or the negligence of its employees, agents or subcontractors (as applicable);
(b) fraud or fraudulent misrepresentation;
(c) defective products under the Consumer Protection Act 1987; or
(d) any matter in respect of which it would be unlawful for the Supplier to exclude or restrict liability.

9.2 Subject to clause 9.1:
(a) the Supplier shall under no circumstances whatever be liable to the Customer, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit, or any indirect or consequential loss arising under or in connection with the Contract; and
(b) the Supplier's total liability to the Customer in respect of all other losses arising under or in connection with the Contract, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall in no circumstances exceed the price paid for the Goods.

10 Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under the Contract to the extent that such failure or delay is caused by a Force Majeure Event. A Force Majeure Event means any event beyond a party's reasonable control, which by its nature could not have been foreseen, or, if it could have been foreseen, was unavoidable, including strikes, lock-outs or other industrial disputes (whether involving its own workforce or a third party's), failure of energy sources or transport network, acts of God, war, terrorism, riot, civil commotion, interference by civil or military authorities, national or international calamity, armed conflict, malicious damage, breakdown of plant or machinery, nuclear, chemical or biological contamination, sonic boom, explosions, collapse of building structures, fires, floods, storms, earthquakes, loss at sea, epidemics or similar events, natural disasters or extreme adverse weather conditions, or default of suppliers or subcontractors.

11 General

11.1 Assignment and subcontracting
(a) The Supplier may at any time assign, transfer, charge, subcontract or deal in any other manner with all or any of its rights or obligations under the Contract.
(b) The Customer may not assign, transfer, charge, subcontract or deal in any other manner with all or any of its rights or obligations under the Contract without the prior written consent of the Supplier.

11.2 Notices
(a) Any notice or other communication given to a party under or in connection with the Contract shall be in writing, addressed to that party at its registered office (if it is a company) or its principal place of business (in any other case) or such other address as that party may have specified to the other party in writing in accordance with this clause, and shall be delivered personally, sent by pre-paid first class post, recorded delivery, commercial courier, fax or e-mail.
(b) A notice or other communication shall be deemed to have been received: if
delivered personally, when left at the address referred to in clause 11.2(a); if sent by pre-paid first class post or recorded delivery, at 9.00 am on the second Business Day after posting; if delivered by commercial courier, on the date and at the time that the courier's delivery receipt is signed; or, if sent by fax or e-mail, one Business Day after transmission.
(c) The provisions of this clause shall not apply to the service of any proceedings or other documents in any legal action.

11.3 Severance
(a) If any court or competent authority finds that any provision of the Contract (or part of any provision) is invalid, illegal or unenforceable, that provision or part-provision shall, to the extent required, be deemed to be deleted, and the validity and enforceability of the other provisions of the Contract shall not be affected.
(b) If any invalid, unenforceable or illegal provision of the Contract would be valid, enforceable and legal if some part of it were deleted, the provision shall apply with the minimum modification necessary to make it legal, valid and enforceable.

11.4 Waiver
A waiver of any right or remedy under the Contract is only effective if given in writing and shall not be deemed a waiver of any subsequent breach or default. No failure or delay by a party to exercise any right or remedy provided under the Contract or by law shall constitute a waiver of that or any other right or remedy, nor shall it preclude or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall preclude or restrict the further exercise of that or any other right or remedy.

11.5 Third party rights
A person who is not a party to the Contract shall not have any rights under or in connection with it.

11.6 Agency, Partnership etc
(a) The Contract shall not constitute or imply any partnership, joint venture, agency, fiduciary relationship or other relationship between the parties other than the contractual relationship expressly set out therein.
(b) Neither party shall have, nor represent itself as having, the authority to make any
commitments on the other party’s behalf.

11.7 Variation
Except as set out in these Conditions, any variation to the Contract, including the introduction of any additional terms and conditions, shall only be binding when agreed in writing and signed by the Supplier.

11.8 Governing law and jurisdiction
The Contract, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), shall be governed by, and construed in accordance with, English law, and the parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.

Registration Terms

​By registering you (the “Participant”) agree to be bound by these terms and conditions. Any information or instructions published by the Promoter (as defined below) on channels such as www.stmoriz.co.uk, instagram.com/stmoriz/ sites form part of these terms and conditions.

The promoter and administrator of this promotion is HotHouse Beauty Ltd of Unit 4 Provincial Park, Nether Lane, Sheffield, S35 9ZX (the “Promoter”). This competition is not endorsed by Twitter, Instagram or Facebook. 

The winner will be selected at random from all eligible and correctly entered Participants. Subject to the winner contacting the Promoter, as set out in the email informing them of the allocation of any prize, the prize will be sent to the Participant’s home address within 14 days of confirmation.   The Promoter accepts no liability for any prize lost, damaged or delayed.

The Promoter reserves the right to pick an alternative winner at random if the original winner is unable to take up the prize, is found not to be eligible in accordance with these terms and conditions or if the Promoter is unable to contact them. Any unauthorized sales of ST. MORIZ products on Amazon or other sites will be removed as they are discovered. Ads from online sellers offering any auctions or advertising sales will also be regularly removed.
  3. ST. MORIZ products purchased on Amazon from any other source other than Hothouse Beauty Limited and Hothouse Beauty Inc will not be sold with the same warranties, money-back guarantees, and customer services as intended by us Hothouse Beauty Limited, the manufacturer. In addition, ST.
